Terms of Service and Sales Conditions

1. Definitions
"The Service": refers to the Quick Ask SaaS platform, published by Quick Lib, enabling the creation of conversational AI assistants and interactive quizzes based on the User's documents.
"The User": any natural or legal person, of legal age and legally capable, using the Service.
"The Subscription": the service agreement entered into by the User to access the paid features of the Service.
"The Content": all documents, files, data and information uploaded by the User to the platform.
"The Bot": the conversational AI assistant created by the User from their documents and content.
2. Purpose
These Terms of Service and Sales Conditions (hereinafter "Terms") define the conditions under which Quick Lib provides the Quick Ask service and the sales conditions for associated subscriptions. Any registration or use of the Service implies unreserved and unrestricted acceptance of these Terms. If the User does not accept these conditions, they must not use the Service.
3. Eligibility Requirements
Use of the Service is restricted to natural persons aged at least 16 years and to legally constituted legal entities. By registering, the User declares and warrants that they meet these conditions. For users aged 16 to 18, registration must be carried out under the responsibility of a legal representative.
4. Access to the Service
The Service is accessible 24 hours a day, 7 days a week, subject to planned or emergency maintenance operations. Quick Lib commits to notifying users of planned maintenance within a reasonable timeframe. Quick Lib shall not be held liable for access interruptions due to external causes (network failures, power outages, etc.).
5. Subscriptions and Pricing
Quick Ask offers the following subscription plans (monthly prices in euros, VAT not applicable — Article 293 B of the French General Tax Code):
- Discovery (Free — €0/month): trial plan with limited features
- Starter (€30/month): intermediate plan for individuals and small businesses
- Business (€60/month): advanced plan for professionals
- Agency (€300/month): complete plan for agencies and large enterprises
Detailed characteristics of each plan are available on the pricing page of the website. Quick Lib reserves the right to modify prices with a minimum of 30 days notice. Modified prices will apply at the next subscription renewal. The User may cancel their subscription before the new prices take effect.
6. Prices and Billing
Prices are indicated in euros. VAT is not applicable in accordance with Article 293 B of the French General Tax Code (VAT exemption for micro-entreprises). Payment is made by credit card via Stripe, Inc., our secure payment provider certified PCI-DSS Level 1. A payment receipt is available in the customer area after each transaction.
Reseller / supplier terms
Quick Ask may be sold through resellers/suppliers (agencies, integrators, consultants) on behalf of their end clients. In that case: each end client has their own account and remains the data controller of their data; Quick Lib acts as a processor (DPA); the reseller is a commercial intermediary and does not access end-user data. Billing is annual, prepaid, in accordance with the partner commercial terms agreed in the contract, and level-1 support is provided by the reseller. Detailed terms are set out in the reseller agreement signed between Quick Lib and the reseller.
7. Right of Withdrawal
In accordance with Articles L. 221-18 et seq. of the French Consumer Code, consumer Users have a period of 14 days from the date of subscription to exercise their right of withdrawal, without having to justify a reason or incur any penalties.
To exercise this right, the User may send their request by email to [email protected], clearly indicating their wish to withdraw, along with their contact details and subscription date. The refund will be made within a maximum of 14 days from receipt of the request, using the same payment method used for the initial transaction.
Exception: In accordance with Article L. 221-28, 13° of the French Consumer Code, the right of withdrawal cannot be exercised when the provision of digital content not supplied on a tangible medium has begun with the consumer's express agreement and with the express waiver of their right of withdrawal. By using the Service immediately after subscription (document upload, bot creation), the User expressly acknowledges waiving their right of withdrawal for the service already performed.

8. Payment and Renewal
The subscription automatically renews. Payment is automatically deducted on the subscription anniversary date via Stripe. In case of payment failure, Quick Lib will send a notification to the User. Failing regularization within 7 days, access to paid features of the Service will be suspended. User data will be retained for an additional 30 days before permanent deletion.
For professional Users: in accordance with Articles L. 441-10 and D. 441-5 of the French Commercial Code, any late payment automatically gives rise to late payment penalties at an annual rate of twenty percent (20%), together with a fixed indemnity for recovery costs of forty (40) euros, without the need for any prior notice.
9. User Obligations
The User undertakes to:
- Provide accurate and up-to-date information during registration and keep it up to date
- Use the Service in accordance with its intended purpose, these Terms and applicable legislation
- Maintain strict confidentiality of their login credentials and immediately notify Quick Lib of any unauthorized use of their account
- Not upload or distribute content that is unlawful, defamatory, discriminatory, violent, pornographic or infringing the intellectual property rights of third parties
- Not use the Service for spam, phishing, malware distribution or any fraudulent activity
- Not attempt to disassemble, decompile or reverse-engineer the Service
10. Prohibited Content
The User is strictly prohibited from uploading or using the Service to process content relating to: illegal activities or encouragement of illegal activities; discriminatory, hateful content or content inciting violence; personal data of third parties without their consent; content infringing the intellectual property or copyright of third parties; pornographic content involving minors. Quick Lib reserves the right to remove any manifestly unlawful content and to suspend or terminate the User's account in case of violation, without notice or compensation.
11. Intellectual Property
The User retains full intellectual property rights over their uploaded documents and content. By using the Service, the User grants Quick Lib a non-exclusive, non-transferable license limited to the execution of the Service (AI processing, storage, indexing). This license terminates upon content deletion or account closure. The User declares and warrants that they hold all necessary rights over the uploaded content and agrees to indemnify Quick Lib against any third-party claims in this regard.
All elements constituting the Quick Ask service (interface, source code, algorithms, texts, images, logos, trademarks) are the exclusive property of Quick Lib and are protected by intellectual property law. Any reproduction, even partial, is strictly prohibited without prior written authorization.
12. Liability
Quick Lib provides the Service as a best-efforts obligation. Quick Lib implements all reasonable means to ensure the availability, security and quality of the Service, but cannot guarantee absolute availability or the complete absence of errors.
Responses generated by artificial intelligence are based exclusively on documents provided by the User. Quick Lib does not guarantee the accuracy, relevance or completeness of AI-generated responses and shall under no circumstances be held liable for decisions made by the User or their end users based on these responses.
The User is solely responsible for their use of the Service, the content they upload and the responses their bots provide to end users.
In any event, Quick Lib's liability is limited to the total amount actually paid by the User for their subscription during the 12 months preceding the event giving rise to liability. Quick Lib shall not be held liable for indirect damages (loss of revenue, data loss, reputational damage, etc.).
13. Force Majeure
Quick Lib shall not be held liable for non-performance or delay in performance of its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code, including but not limited to: natural disasters, fires, floods, pandemics, wars, acts of terrorism, strikes, failures of telecommunications networks or third-party hosting providers, governmental or regulatory decisions, cyberattacks. In the event of force majeure lasting more than 60 days, either party may terminate the contract without compensation.
14. Termination
The User may terminate their subscription at any time from their customer area. Termination takes effect at the end of the current billing period. The User retains access to paid features until the end of that period.
In the event of serious or repeated breach of these Terms by the User, Quick Lib reserves the right to suspend or terminate access to the Service, without notice or refund, after a formal notice that has remained without effect for 15 days (except in cases of urgency or manifestly unlawful content justifying immediate suspension).
Upon termination, User data will be retained for 30 days, after which it will be permanently deleted, except for data whose retention is required by law.
15. Personal Data
The processing of personal data is governed by our Privacy Policy, accessible from the website footer and forming an integral part of these Terms. The User is informed that their data is processed in accordance with the GDPR and the French Data Protection Act.
16. Consumer Mediation
In accordance with Articles L. 611-1 et seq. and R. 612-1 et seq. of the French Consumer Code, in the event of a dispute not resolved by Quick Lib's customer service, consumer Users may use the free mediation service. The competent consumer mediator is: the Centre de Médiation et d'Arbitrage de Paris (CMAP) — 39 avenue Franklin D. Roosevelt, 75008 Paris — www.cmap.fr. The User may also use the European Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr
17. Modifications to Terms
Quick Lib reserves the right to modify these Terms at any time. Modifications will be notified to users by email and/or notification in the application at least 30 days before they take effect. Continued use of the Service after the modifications take effect constitutes acceptance of the new conditions. In case of refusal, the User must stop using the Service and cancel their subscription before the new conditions take effect.
18. Severability
If any clause of these Terms is declared null or unenforceable by a competent court, the remaining clauses shall remain in full force and effect.
19. Entire Agreement
These Terms, together with the Privacy Policy and Legal Notice, constitute the entire agreement between the User and Quick Lib regarding the use of the Service. They replace and supersede any prior agreement, whether written or oral, relating to the same subject matter.
20. Applicable Law and Jurisdiction
These Terms are governed by French law. In case of dispute, the parties commit to seeking an amicable resolution before any legal proceedings. For consumer users, jurisdictional competence is determined in accordance with the provisions of the French Consumer Code. For professional users, failing an amicable agreement, the competent courts within the jurisdiction of the Douai Court of Appeal shall have exclusive jurisdiction.
